WARREN A. RAITI

Managing Attorney

Mr. Raiti is a seasoned capital markets attorney and litigator. Mr. Raiti has represented top private equity investment firms, providing litigation and corporate deal support for a wide range of private and public domestic and cross-border transactions, initial public offerings (IPOs) and special purpose acquisition companies (SPACs). Mr. Raiti started his legal training in Washington D.C. at the Enforcement Division of the U.S. Securities and Exchange Commission, where he assisted in the development and litigation of a wide variety of securities enforcement cases. He has advised investment banking firms and individuals before FINRA and the SEC proceedings. Mr. Raiti has also advised  clients in federal and New York state courts in matters relating to securities, complex commercial litigation, and constitutional law. As part of his venture capital, international trade, and banking practice, Mr. Raiti has provided securities regulatory guidance to startups as well as established financial institutions worldwide, and focuses on the nexus of global regulatory compliance, payment systems, and financial technology (FinTech). Mr. Raiti received his Juris Doctor from the Kline School of Law at Drexel University in the United States and holds an undergraduate degree from Fordham University in New York City, where he studied the intersection of anthropology and economics in China and Asia-Pacific. Mr. Raiti is admitted to practice law in New York, New Jersey, and in the United States District Court for the Southern District of New York. Mr. Raiti is also a skilled pianist and active composer of classical music.

Hui Liu

Managing Attorney (China Practice)

Ms. Liu represents domestic and foreign issuers, placement agents and other parties in all aspects of corporate and securities law, with a particular focus on securities regulation, public and private securities offerings, including initial public offerings, corporate restructurings, corporate finance, mergers and acquisitions (including SPAC M&A transactions), and general corporate and corporate governance matters, including ongoing SEC disclosure, reporting and corporate governance matters. She has extensive experience in structuring, negotiating and consummating initial and other public offerings, “PIPE” offerings and other public and private corporate financings for domestic and international companies. Ms. Liu has recently acted as special SPAC counsel in connection with a Chinese SPAC and represented several Chinese companies with respect to ongoing regulatory compliance.

In addition, she also provides counsel to cross-border clients with their investment acquisition projects and investment-based immigration applications. She negotiated a wide range of real estate development contracts, commercial contracts, brokerage agreements, and purchase and sale agreements, multinational corporate M&A transactions.

Prior to joining the firm, Ms. Liu was associated with several law firms with nationally recognized securities practice in New York, New Jersey, Philadelphia and China. She has been working as the in-house legal counsel in a top ranked public listed securities and brokerage firm in China.

Ms. Liu received her Master of Laws from Boston University School of Law in the United States, and her Bachelor of Laws from Peking University Law School in China. Ms. Liu is admitted to practice law in New York. She is a native speaker of Mandarin Chinese and fluent in Cantonese dialect.

VINAY GANGA

Counsel

Mr. Ganga is partner heading global business and finance at the London office of Zhong Lun Law Firm, one of the largest law firms in China, and collaborates with RAITI, PLLC in matters involving international law, as well as corporate finance and capital markets. Mr. Ganga has represented major multinational corporations, financial institutions and investment funds on a wide array of transactions across the world. He has extensive institutional and investor relationships spanning five continents. Mr. Ganga has more than 25 years of experience and is qualified as both a Solicitor and Barrister in the U.K. Mr. Ganga’s practice has focused on investment banking and private equity, and has served as a partner at premier international firms like Cadwalader, ReedSmith and Stephenson Harwood. Mr. Ganga was a Felix Scholar of the Rhodes Scholarship Trust at the University of Oxford, where he graduated with a Bachelor of Civil Law.

ROBERT T. (“Ted”) HUME

Counsel

Mr. Hume was over 40 years dealing with international trade matters notably those dealing with antidumping and countervailing duty issues both in government service and in private practice. Mr. Hume served as a senior attorney in the Office of the General Counsel in the U.S. Treasury Department, an Assistant Chief Counsel in the U.S. Customs Service (now Customs and Border Protection), and as Deputy General Counsel in the Office of the U.S. Trade Representative. After government service, Mr. Hume was International Trade Counsel for Texas Instruments in Dallas, Texas. Mr. Hume earned his B.A. degree in Economics from Yale University, a J.D. degree from the Washington College of Law at American University in Washington, DC, and a M.A. in Economics from Georgetown University.
